1. Enterprise Services Agreement
All software engineering, digital consulting, architecture review, and technical support services provided by ISTROLABE are governed by individual Master Services Agreements (MSA) and Statements of Work (SOW) executed between the client and ISTROLABE.
2. Intellectual Property Rights
Upon full settlement of invoices, clients retain 100% full, exclusive intellectual property ownership of all custom software solutions, proprietary source code, documentation, and architectural artifacts created specifically for their engagement.
3. Confidentiality & Non-Disclosure
Both parties agree to treat all business information, technical architectures, and trade secrets as strictly confidential. Mutual non-disclosure obligations remain in effect indefinitely for trade secrets and for a minimum of 5 years for confidential business data.
4. Warranties & Limitation of Liability
ISTROLABE warrants that software deliverables will perform in material accordance with agreed SOW specifications. Services are provided with professional diligence in accordance with recognized industry standards.
